Disclosure regarding Additional Proxy Solicitor

 

In addition to MacKenzie Partners, Inc., Virtusa Corporation (the “Company”) has engaged ICR, LLC to also assist in the solicitation of proxies for the annual meeting and will pay ICR, LLC a fee of approximately $35,000, plus reimbursement of out-of-pocket expenses. The Company will indemnify ICR, LLC and its affiliates against certain claims, liabilities, losses, damages and expenses.
